Statement of the Issuer

Being a plain account of the undersigned, without embellishment

Ihave spent 14 years in investor relations, the last 6 as a director, and I currently manage communications with roughly 240 institutional holders. I write the earnings materials, run the annual meeting, and answer the telephone when the share price does something the board did not expect. My quarterly call scripts have survived 3 activist campaigns and one merger, which I consider a fair audit of the product.
